1. Australian Payments Plus Limited ACN 649 744 203 (“AP+“) seeks to use the ‘PayID Demo’, a software demonstrating the functionality of real time account-to-account payments developed and owned by Zepto Payments Pty Ltd ACN 604 057 598 (“Zepto”), for an internal company event on 20 July 2022 (the “Purpose”). AP+ and Zepto (the “Parties”) set out the terms of use of the Pay ID Demo by written email correspondence.
2. AP+ acknowledges that Zepto exclusively owns any and all material created or used in connection with the ‘PayID Demo’ (“PayID Demo IP”) (including the Zepto logo) as intellectual property developed and/or owned by Zepto.
3. Zepto grants AP+ a non-exclusive, non-transferable, revocable licence to access and use the the PayID Demo IP and to utilise any software, systems, and/or communication links furnished by Us in conjunction with the PayID Demo IP for the Purpose.
4. AP+ expressly releases, indemnifies and holds Zepto, its affiliates and its affiliates’ respective representatives harmless from and against any any allegation, debt, cause of action, liability, loss, claim, proceeding, suit or demand of any nature howsoever arising and whether present or future, fixed or unascertained, actual or contingent whether at Law, in equity, under statute or otherwise (“Claim”) that arises or may arise against Zepto in connection with its use of the PayID Demo IP
5.As consideration for AP+’s use of and access to the PayID Demo IP, AP+ agrees that in no event will Zepto or any other party involved in creating, producing, or delivering the Pay ID Demo be liable to AP+ in any manner whatsoever for any decision made or action or non-action taken by AP+ in reliance upon the information provided to it in relation to its use of the Pay ID Demo.
